Memelut Terms of Use

1. Who we are and what you accept

Memelut is an app operated by Memelut Ltd., a company incorporated in the British Virgin Islands, with its registered office in Tortola, British Virgin Islands ("Memelut", "we"). Contact: support@memelut.com.

By using the app you accept these terms, the Privacy Policy, the Risk Disclosure, the Fees page and the Fundraise and Gift Bank rules, which are part of them. If you do not accept them, do not use the app.

2. Who can use Memelut

  • You must be at least 18 years old, or the age of majority where you live if that is higher.
  • You cannot use Memelut if you are subject to sanctions (for example, if you are on a UN, EU or US sanctions list) or if you are located in, or a resident of, a country or region where the service is not allowed.
  • Excluded countries and regions (comprehensive UN, EU or US sanctions):
    • Cuba;
    • Iran;
    • North Korea;
    • Syria;
    • the Crimea, Donetsk and Luhansk regions of Ukraine.
  • We may add countries or regions to this list when the law requires it. You must not get around these limits, for example with a VPN.
  • One account per person. You cannot use someone else's account.
  • Some features may not be available in your country.

3. What Memelut is

Memelut is a social app for meme coins on the Solana blockchain. Every video is a coin. Tapping the heart buys that coin.

Memelut is not a bank, not a licensed crypto-asset service provider (CASP) and not a money services business. It is not an exchange, a financial intermediary or an adviser. The coins are digital collectibles, not investments. Nothing in the app is investment advice or a recommendation, and we do not promise any profit. Meme coins give no rights to profits, companies or assets and have no guaranteed value.

4. Your wallet: you hold it

  • Your Memelut Solana wallet is created on your phone from a 24-word recovery phrase and kept in the phone's secure storage.
  • Automatic cloud backup. When the wallet is created, the app saves an end-to-end encrypted copy of the recovery phrase in your own iCloud Keychain (iPhone) or Google Block Store (Android). The copy is in your Apple or Google account, and Memelut cannot read it. You can write down the 24 words later, from Security → Recovery phrase: do it soon, because the paper copy is your backup if you lose access to that account.
  • The private key and the recovery phrase never reach Memelut: we do not receive them, do not know them and will never ask for them. Our server only gets the wallet's public address and a signature proving it is yours.
  • You alone are responsible for your recovery phrase and for your Apple or Google account. Anyone with the phrase can take everything in the wallet.
  • If you lose your phone and also your recovery phrase and its cloud backup, nobody can recover your funds, not even Memelut.
  • You can export the phrase and use the wallet in other Solana-compatible apps.
  • If you had a wallet created with Privy in the previous version, its funds are moved to your new wallet. The app tells you if you need to do anything.

5. Buying, selling and sending

  • Every operation that moves value from your wallet (buy, sell, send, fundraise contribution, launch, Gift Bank funding) is prepared by our server and signed by you on your phone. Nothing leaves your wallet without your signature.
  • The heart buys the coin with the amount you chose (usually about $0.20; minimum $0.10). The app reminds you on your first heart.
  • Before signing you see the amount, the network fee and, where relevant, the minimum you will receive. The final price can change between the request and the confirmation.
  • Solana transactions are final: we cannot cancel, block or refund them. A send to a wrong address is lost.
  • You can send coins or SOL to a Memelut user or to any Solana address. Sends to the phone number of someone who is not on Memelut are paused.
  • Failed transactions may still cost the network fee.

6. Fees

Fees are set out on the Fees page. In short:

  • on coins launched with V2, every buy and sell on the curve pays a 1.625% pool fee, built into the price: 1% to Memelut, 0.3% to the coin's creator, 0.325% to Meteora (the pool protocol);
  • Solana network fees are paid by you;
  • "Launch now" is paid by the creator.

We may change fees for new coins, with notice in the app. The fees written into the pool of a coin already launched do not change.

7. Fundraises (coins not launched yet)

A new coin starts as a fundraise. In this phase Memelut holds the SOL users put in with hearts, until the coin launches. The full rules are on the Fundraises page: $10 threshold, sell-back before launch at the curve price minus 1%, automatic refund after 90 days for fundraises started in V2, tokens delivered to your wallet after launch.

8. Gift Banks

A creator can fund a Gift Bank: Memelut buys the coin and holds the tokens until it delivers them to viewers who qualify. The full rules are on the Gift Banks page. Gifts are a promotion, not a promised amount.

9. Limits, pauses and checks

  • At launch, and at least for the first 3 months of V2, what Memelut holds for each person is capped: at most $50 of open fundraise contributions per person and at most $50 of open Gift Banks per creator. We may apply other limits to protect users, for example on daily amounts.
  • We may pause any feature, or the whole app, at any time, for example during a security check. A pause does not touch what is in your wallet.
  • We may ask you to verify your email or meet other conditions for some features (for example Gift Bank gifts).

10. Creating a coin

  • Whoever uploads a video creates a coin and is its creator. The creator receives 0.3% of the volume traded in their coin's pool (coins launched with V2 only) and can claim it from their wallet.
  • After launch, a coin's name, image and description can no longer be changed, by you or by us. What is written on Solana and IPFS at launch is public and permanent.
  • We may remove a video or a coin from the app (for example for illegal or reported content), but we cannot delete the coin from the blockchain.
  • If we remove a coin while it has an open fundraise or Gift Bank, the refund rules of the Fundraises and Gift Banks pages apply.
  • You are responsible for what you publish: you must hold the rights to the videos, images, music and trademarks you use.

11. Comments, hearts and shares

  • A comment comes with a buy and pays the same fees. The comment is published only if the buy succeeds.
  • Liking a comment is free.
  • Sharing a coin is free. There is currently no share fee: a buy that comes through your share link costs the buyer nothing extra and pays you nothing.

12. What you must not do

You must not: manipulate prices or numbers (wash trading, coordinated buys meant to mislead other users); use multiple accounts, bots, emulators or VPNs to obtain gifts; exploit bugs in the service; publish content that is illegal, violent, sexual, hateful, fraudulent or that infringes others' rights; impersonate others; use Memelut for money laundering, sanctions evasion or any other unlawful activity. If you do, we may remove content, withhold gifts, limit or close your account.

13. Content and licence

Content you publish remains yours. You grant us a non-exclusive, royalty-free, worldwide licence to host, display, adapt to the app's format and distribute it within Memelut and Memelut's channels while it remains published. The licence ends when you or we remove the content, except for copies that remain for a limited time in backups and caches, and for what is written on the blockchain or IPFS at launch, which cannot be removed. To report content that infringes your rights, write to support@memelut.com.

14. Third-party services

Memelut relies on third-party services and protocols: the Solana blockchain, Meteora pools, Light Protocol token compression, Helius (network access and indexing), Jupiter and, if you choose to buy SOL by card, MoonPay or Coinbase. We do not control them and are not responsible for their outages, rules or fees.

15. Taxes

You are responsible for the taxes and reporting duties on your transactions in your country.

16. Moving from the previous version

  • If you had a "trading balance" in the previous version, it is moved to your wallet once your wallet on the phone is confirmed in V2 (active users receive it automatically). Large balances may need a manual check before delivery.
  • Contributions to open fundraises stay in those fundraises and follow the Fundraises page.
  • You keep your right to claim your balance from the previous version. If you do not open V2 within 12 months of the switch, your balance is not lost: you can still claim it after that date by writing to support@memelut.com.

17. Closing your account

  • You can delete your account in the app. Your wallet stays yours: it is on your phone and on the blockchain, and deleting the account does not touch it. Before deleting, make sure you have your recovery phrase.
  • Deletion may be postponed while you have open fundraise contributions or deliveries in progress to you.
  • We may suspend or close an account that breaches these terms or the law.
  • What is written on the blockchain cannot be deleted.

18. Liability

The service is provided "as is" and "as available". We do not guarantee that it is always available or error-free.

To the extent allowed by law, we are not liable for: losses caused by price movements; transactions you signed; the loss of your recovery phrase, of your phone or of access to your Apple or Google account; failures of Solana, of the protocols and of the third-party services listed in point 14; or indirect losses, such as lost profits or lost opportunities.

Nothing in these terms limits our liability where the law does not allow it, for example for fraud, wilful misconduct or gross negligence, and nothing affects the mandatory rights you have as a consumer.

19. Changes

We may change these terms. We will tell you about important changes in the app before they take effect. If you keep using Memelut after that date, you accept them.

20. Governing law and disputes

These terms are governed by the laws of the British Virgin Islands. The courts of the British Virgin Islands have jurisdiction over disputes arising from them.

This is without prejudice to the mandatory consumer-protection rights of your country of residence: if you are a consumer, you keep the protection of those rules and, where that law gives you the right, you can bring a claim in the courts of your country.
